Article I—Name and Purpose 1. The purpose of this Association shall be to assist the beef cattle producer in his or her efforts to promote the general welfare of the cattle industry, to serve as the official auxiliary of the Missouri Cattlemen’s Association, to promote better public relations between the cattle industry and the general public, and to promote public acceptance of all members of the beef cattle industry. 2. This Association shall be affiliated with the American National CattleWomen by payment of the required affiliation dues and shall cooperate in all respects with the National Cattlemen’s Beef Association and the Missouri Cattlemen’s Association. 3. This Association shall be non-profit, non-union, non-partisan, non-sectarian, and its members shall have the sole right to govern and control its activities through their own officers who are elected annually at the State Association meeting. Article II—Membership 1. Membership in the Missouri CattleWomen shall be classified as Member, Collegiate Member, including colleges or youth, Associate Member, and Honorary Member. A. Members shall be women who own farms, who live on farms, or who are directly associated in livestock and farming industries and pay dues to the Association. B. Collegiate CattleWomen shall be women who are in college or youth who are interested in the promotion of beef and the welfare and promotion of the beef cattle industry. C. Student CattleWomen shall be women who are in college or youth who are interested in the promotion of beef and the welfare and promotion of the beef cattle industry. D. Associate members shall be women other than Members who are interested in the welfare and promotion of the beef cattle industry and pay dues to the Association. Associate members shall not be eligible to hold office and shall have no vote in the legislative actions of the Association. E. Honorary members shall be persons other than Members who have received public recognition of outstanding or special service to the cattle industry and are selected by the Executive Board. Not more than five (5) honorary members shall be selected in any calendar year. Article III—Dues 1. The annual dues shall be $10 per year and student dues shall be $5.00 per year or half of the MCW dues and shall be due and payable October 1. Dues shall be delinquent if not paid after December 31. Any person whose dues are not paid at the time of the annual meeting will not be allowed to vote. 2. Upon the vote of the Board of Directors, token contributions may be made to the American National CattleWomen Foundation as a memorial or tribute to members who have passed away during the year, if and when the finances of the treasury warrant such a contribution. Article IV—Election of Officers 1. The following officers shall be elected for a term of one year at the annual State Association meeting; President, President Elect, Vice President, Secretary, Treasurer. 2. There shall be a Nominating Committee of three (3) members appointed by the President at the first Board of Directors meeting after Annual Meeting. The Immediate Past President will act as an advisor to the Nominating committee. 3. The Nominating Committee shall present one (1) name for each office at the annual meeting, after obtaining consent of the nominee to serve, if elected. 4. All candidates eligible for state office shall be members in good standing. No officer, with the exception of treasurer, shall serve more than two (2) consecutive terms in the same office. 5. Officers shall be elected by a majority vote or the Association members present at the Annual Meeting. When there is more than one nominee for any office, vote shall be by voice. 6. In the event of a vacancy in an elected office, the Executive Board, by majority vote, shall fill the vacancy from the Association membership. 7. To be eligible for the office of President, candidate shall have held an office on the Executive Board. Article V—Duties of Officers 1. The duties of President shall be: A. Preside at all meetings. B. Carry out the directives of the Association. C. Have the authority to call meetings. D. Have the authority to fill vacancies of Committee Chairs and members, with the approval of the Board of Directors. E. Shall appoint Committees as she deems necessary, with the approval of Board of Directors. F. Shall attend MBIC as an advisory member of the Board of Directors. G. Shall attend MCA Executive Board meetings. H. Shall attend functions as deemed by the duties of the office. I. Shall have expenses, pertaining to the duties of the office. 2. The duties of President Elect shall be: A. Shall serve as Membership Chair. B. Shall be automatically nominated to succeed to the Presidency, if the office of President becomes vacant. C. Shall accept the duties assigned by the President and Executive Board. D. If the President Elect is unable to assume the Presidency, the duties but not the office shall devolve on the ranking Vice President until an election in held in accordance to the Bylaws. 3. The duties of the Vice President shall be: A. Shall serve as Beef Promotion Chair. B. Shall accept duties assigned by President and Executive Board. C. Shall be automatically nominated to succeed the President Elect, in the event a vacancy occurs in the office of President Elect. 4. The duties of Secretary shall be: A. Maintain a minute book and complete record of all meetings of Executive Board, Board of Directors, and Membership. B. Minute book shall be turned over to the incoming Secretary upon expiration of term or effective date of resignation. 5. The duties of Treasurer shall be: A. Keep an accurate record of all dues and monies collected. B. Keep an accurate record of all expenses. C. The Treasurer shall request and receive all receipts for the fiscal year 14 days before the first day of convention, so that all accounts may be closed and prepared for audit at the Annual Convention. The Missouri CattleWomen will not pay any receipts postmarked after 14 days before the first day of the Annual Convention. D. Annually, upon expiration of term, or effective date of resignation, a full and complete audit of all accounts shall be conducted by an independent accountant and a full report made available to the Executive Board and incoming Treasurer. E. All monies, reports, and records maintained shall be turned over to the incoming Treasurer on effective date of resignation or at Annual Meeting following expiration of term. F. Only items approved by the Board of Directors or by the Executive Board shall be paid with check by the Treasurer. The Executive Board shall appoint a second member to sign checks, which may be the President. G. All Association accounts shall be audited by an independent accountant annually, upon expiration of Treasurer term, or upon effective date of resignation of the Treasurer. Article VI—Executive Board 1. The Executive Board shall consist of the duly elected President, President Elect, Vice President, Secretary, Treasurer, and Immediate Past President, or those appointed to these positions by the President or Executive Board. 2. The Executive Board shall meet upon the call of the President at time and place designated. 3. The Executive Board shall be the governing body of the Association between meetings of the Board of Directors, shall have authority to carry out decisions of the Board of Directors, and act in any and all matter deemed necessary by the Board of Directors, other than amendment of the Bylaws. 4. Any action taken by the Executive Board shall be final, subject only to appeal at the annual meeting. Such appeal to be made by duly presented resolution and presented in the name of not less than ten (10) members in good standing, representing ten (10) separate districts. 5. Any members or groups of members, without prior written approval from the Executive Board shall create no financial obligation in the name of Missouri CattleWomen. 6. The Executive Board shall elect and designate all honorary members. Article VII—Board of Directors

business and affairs of the Association shall be managed and conducted by
a President, President Elect, Vice President, Secretary, and Treasurer
serving under the board of 13 directors, one from each of the thirteen
(13) districts. The directors will represent the following counties: |
